Les résultats du Q3 semblent assez bon à première vue. La distribution est augmentée.

  • Les résultats du Q3 sont à mon avis très bon. Boyd continue sa consolidation du marché, les ventes comparables sont intéressantes dans un contexte economique plus difficile :1.3% au Canada (20% des ventes totales) et surtout 12.1% aux USA (en excluant l'effet du taux de change, représentent 80% des ventes totales). Le yield est maintenant de 4.4% avec un taux de distribution d'environ 30%.

    Plusieurs initiatives sont en marche pour améliorer la rentabilité des centres récemment acquis; dans l'appel conférence il a d'ailleurs été mention des investissements dans les systèmes informatiques et le regroupement futur des bannières sous une bannière unique, à tout le moins pour les USA. Ceci augmentera la visibilité nationale et les relations avec les grandes compagnies d'assurance pour le règlement des réclamations. Boyd a amélioré sa flexibilité financière avec une émission d'actions au cours du trimestre à 10.75$ par part; bien que ''dilutive'' pour les actionnaires actuels, ceci donne une meilleure position au bilan pour de futures acquisitions.

    Je crois que le modèle est bien en place pour continuer la croissance dans les prochaines années et en plus vous avez un rendement de dividende de plus de 4%.

  • Une acquisition pour Boyd :

    Boyd Group Income Fund has entered into a definitive agreement to acquire Master Collision Repair, Inc., which owns a total of eight collision repair centres in the Tampa, Fla., market area under the trade name Master Collision Repair (MCR). The acquisition is expected to be immediately accretive to the fund's earnings and cash flows.

    "The acquisition of Master is very strategic as it gives us an industry-leading platform from which to grow in the attractive Florida market, further demonstrating our commitment to expanding our business," said Brock Bulbuck, president and chief executive officer of the Boyd Group. "MCR's business model and customer base are similar to Boyd's, which should result in a smooth integration with our existing business. Further, we assess that there is a tremendous opportunity for accretive add-on growth in Florida, building from the foundation and base of MCR. The acquisition of Master also further solidifies Boyd's leading industry position and enhances our opportunity to capitalize on the trend of U.S. insurance companies consolidating direct repair program volumes and showing increased preference for dealing with large multilocation operators. The Boyd Group, currently the largest multilocation collision repair operator in North America in terms of annual sales and number of locations, continues to look for opportunities to grow its operation. We remain focused on successful execution and integration of acquisitions to increase our profitability and drive value for our unitholders."

    The transaction, valued at approximately $11.5-million (U.S.) to $12.0-million (U.S.) subject to working capital adjustments, is expected to be completed in early to mid-January, 2012, subject to certain closing conditions. Financing for the transaction will be through a combination of cash, third party financing and a seller note. The fund will not be issuing any new equity to finance the transaction and, therefore, the transaction will not result in equity dilution to unitholders.

    MCR is a leading provider of automotive collision repair services in the Tampa Bay area, a market in west-central Florida. With eight operating locations and additional locations under consideration, MCR generated sales of approximately $20-million (U.S.) in the 12 months ended Oct. 31, 2011. The fund forecasts that MCR will add annual earnings before interest, taxes, depreciation and amortization of approximately $2.0-million to $2.5-million to its consolidated EBITDA, including synergies. Upon completion of the acquisition, the Boyd Group will operate a total of 175 locations spanning 14 U.S. states and four Canadian provinces.

  • Que voulez vous dire par des résultats financiers difficiles à comprendre? J'ai été voir les états financiers et je n'ai rien vu de particulièrement complexe.

  • For the year ended Dec. 31, 2011, the fund recorded income tax
    expense in the amount of $2.5-million, compared with a recovery of $6.6-million in 2010.

    Net earnings were $2.9-million, or 26.2 cents per diluted unit, compared
    with net earnings of $13.5-million, or $1.249 per diluted unit, for the
    same period last year. The decrease in net earnings was the result of recording fair value adjustments for exchangeable shares in the amount of $1.9-million, unit options in the amount of $900,000 as well as
    a non-controlling interest put option cost of $200,000, the
    recording of acquisition and transaction costs of $1.9-million,
    settlement costs of $3.3-million, the accelerated amortization of
    True2Form and Cars brand of $500,000 and income tax expense of
    $2.5-million. Excluding the impact of these adjustments, net earnings
    would  have increased to $14.2-million, or $1.256 per unit, compared with
    adjusted earnings of $11.9-million, or $1.104 per unit in the prior
    year if the same items were adjusted as well as including an additional
    $1.3-million writedown of goodwill. This increase is the result of the contribution of new acquisitions and new location growth as well as
    increases in same-store sales.

    During 2011 the fund generated adjusted distributable cash of
    $16.0-million. The fund paid distributions and dividends of
    $5.0-million, representing a payout ratio of 31.3 per cent for the year.

    Sans être incompréhensible, il y a quand même beaucoup de bruits avec toutes sortes de charges spéciales. 

    Aussi, j'ai compris lors de l'appel-conférence qu'il ne bénéficieront plus de pertes fiscales en 2012, ce qui devrait avoir un impact négatif sur le "cash distribuable"


  • En fait, les "charges spéciales" ne sont pas liées à des activités compliquées mais plutôt à une comptabilité moins claire liée à l'implantation de IFRS. Par exemple, les "fair value adjustments" sont de nouvelles charges à comptabiliser en fonction des normes IFRS mais pour des items qui n'avaient pas nécessairement de charges (ou revenus) équivalents sous les PCGR. En gros, la valeur des options "outstanding" a augmenté de $3M par rapport à la période précédente, et donc un "coût" fantome de financement de $3M est imputé aux résultats. À remarquer que plus l'action monte, plus le coût va être grand, et que si l'action baissait plutôt, alors il y aurait un revenu. Personnellement, je trouve ce genre de charge financière fictive totalement inutile et je l'exclus d'emblée de mes analyses.

    Le Settlement costs est une sorte de prime de départ sur laquelle il reste $3M à payer (je crois $1M par année jusqu'en 2014).

    Je crois que dans le futur, de plus en plus d'entreprises vont se faire évaluer sur leur EBITDA plutôt que le profit par action, car le profit par action sous IFRS ne représente pas bien les résultats de l'entreprise (crée trop de bruit fantôme!!).

    Personnellement, en regardant rapidement les résultats de Boyd, je vois qu'en 2010 ils ont fait $17,3M de profit sur des ventes de $257M, alors qu'en 2011 ils ont fait $22,5M sur des ventes de $357M avant impôts, charges fantômes, charges non récurrentes et amortissements. Donc ils ont augmenté leurs ventes de 39% en baissant un peu leur marge de profit nette (incluant les head costs). Au total, ils ont augmenté d'environ 25% le rendement par action avant intérêts, impôts, etc.

    Je qualifirais donc la performance de 2011 de bonne par rapport à 2010. La question est de savoir s'ils peuvent continuer à faire croître les ventes ou encore à augmenter leurs marges pour continuer de faire augmenter la valeur du capital action.

  • Je viens de terminer l'écoute du conference call...comme le mentionne Cap, il y a plusieurs charges reliées à la nouvelle norme IFRS. Par exemple, lors d'acquisitions, la direction expliquait qu'elle devait comptabiliser le branding des entreprises acquises comme actif à la juste valeur marchande et ensuite la déprécier sur la durée de vie utile. Dans le cas de Cars Collision acquise en cours d'année (28 points de services), Boyd les as converties à leur bannière Gerber ce qui a fait augmenter les charges d'amortissement car à toute fin pratique le branding Cars Collision n'a plus de valeur. Il faut dire que Boyd a une comptabilité plus complexe que la normale et les normes IFRS viennent un peu ajouter à la complexité.

    Ce que je retiens de l'appel-conférence: le prix des cibles d'acquisition n'ont pas augmentées,  ils vont acheter davantage de points de services uniques pour augmenter la masse critique dans les marchés où ils sont présent (ou des points de services multiples mais de la grosseure de Master - 8 centres-), moins de pertes fiscales donc on peut probablement oublier une hausse de distribution du cash (mais j'aime mieux une croissance des points de service à ce stade-ci pour Boyd), mais encore beaucoup de potentiel d'expansion surtout aux USA. Le regroupement des bannières discuté dans l'appel-conférence précédent se poursuit, gestion ''nationale'' des centres notamment par des investissements dans les TI.

  • La dette à long terme me semble aussi sous contrôle à moins de une fois l'avoir des actionnaires. J'aimerais la voir à moins de 50% de l'équité, mais BYD est un consolidateur et il peut arriver que le ratio dépasse ce niveau. De toute manière, la direction a le loisir d'émettre des actions pour financer certaines acquisitions afin de réduire le levier. Pour l'instant, ça ne m'apparaît pas nécessaire.
  • Bons résultats encore une fois pour Boyd :


    During the quarter, the Fund generated adjusted distributable cash of $3.2 million and declared distributions and dividends of $1.5 million,

    As at June 30, 2012, the Fund had total debt outstanding, net of cash, of $30.6 million, 

    Donc, si on extrapole, BYD pourrait faire 12M de cash distribuable. Ça nous donne un ratio dette/cash distribuable inférieur de 2.5. Le ratio passe à 5 si on exclue les dividendes. C'est très raisonnable.

    Il faut par contre tenir compte de ça :

    The Fund recorded income tax expense in the amount of $1.1 million, compared with $1.0 million in 2011. The Fund has now used all of its unrestricted U.S. operating loss carry-forward amounts, and only has loss carry-forward amounts remaining from acquisitions which are restricted, in that, their utilization is subject to annual maximum allowable limits. As a result, a portion of U.S. earnings are now subject to current taxes.

    Vous parlez de croissance mais quand je regarde sur stockpointer, la seule chose que je vois croître ce sont les ventes. Pour ce qui est de la rentabilité?

    Sur 5 ans en moyenne :
    Croissance des ventes = 23%
    BPA= -18%
    % dividende versé = -24%
    ROE = -19%

    En trois ans :
    Le ROC est passé de 12,8% à 7,5%
    Le coût du capital de 6,4% à 7%

    Et la dette aussi est en croissance.

    Boyd se sert de son prix d'action élevé pour se financer...

    Boyd Group Income Fund (TSX:BYD.UN) (the "Fund", "Boyd" or the "Boyd
    Group") today announced that it has entered into an agreement with
    National Bank Financial Inc. on behalf of a syndicate of underwriters
    consisting of National Bank Financial Inc. and Cormark Securities Inc.,
    acting as co‐leads and joint bookrunners, and including CIBC World
    Markets Inc., Laurentian Bank Securities Inc., Scotia Capital Inc. and
    Octagon Capital Corp. (collectively, the "Underwriters"), pursuant to
    which the Fund will issue from treasury, and the Underwriters shall
    purchase on a "bought-deal" basis, 2,000,000 trustunits (the "Units").
    The Units will be offered to the public by way of a short form
    prospectus at a price of C$27.60 per Unit, for gross proceeds to the
    Fund of C$55,200,000 (the "Offering").

    The Fund intends to use the net proceeds of the Offering
    principally to repay unamortized prepaid rebates (unearned income)
    previously received under paint supply arrangements and used as funding
    for acquisitions and start-ups, as well as for general corporate
    purposes. The Fund would be repaying the prepaid rebates as part ofa
    restructuring of its paint supply arrangements from prepaid rebates to
    back-end purchase discounts.

    "Prepaid rebates from our paint supply partner have been an
    important component of our growth strategy to date. However, given our
    current size, purchasing scale and access to capital, combined with
    changing paint market conditions, we have now assessed that moving to
    higher, market-driven, back-end purchase discounts will be to our
    advantage and very accretive to our unitholders," said Brock Bulbuck,
    President and Chief Executive Officer of the Boyd Group. "In addition,
    repayment with equity proceeds will further strengthen our balance sheet
    and position us extremely well to continue to execute on our growth
    strategy."

    The Fund has also granted to the underwriters an
    over-allotment option to purchase up to 300,000 additional Units,
    representing 15% of the size of the offering. The over-allotment option
    may be exercised until 30 days following the closing of the offering.

    BOYD GROUP INCOME FUND REPORTS THIRD QUARTER; RECORD ADJUSTED EBITDA OF $10.6 MILLION; ANNOUNCES 2.6% INCREASE TO ANNUAL DISTRIBUTION

    Boyd Group Income Fund has released its financial results for the three- and nine-month periods ended Sept. 30, 2013. The fund's complete fiscal 2013 third-quarter financial statements, and management's discussion and analysis have been filed on SEDAR. This news release is not in any way a substitute for reading the Boyd Group's financial statements, including notes to the financial statements, and management's discussion and analysis.

    Third-quarter 2013 highlights:

    Total sales increased by 37.2 per cent to $149.6-million from $109.1-million in the third quarter of 2012

    Same-store sales increased by 4.4 per cent, excluding the impact of foreign exchange translation

    Adjusted EBITDA (earnings before interest, taxes, depreciation and amortization) increased 42.2 per cent to $10.6-million, compared with $7.5-million in the third quarter of 2012;

    Acquired Hansen Collision and Glass with 25 locations, to enter new Michigan market;

    Initiated a $63.5-million bought deal equity financing, which closed on Oct. 22, 2013, to repay unamortized prepaid rebates and position for enhanced profitability and for further growth;

    Added six single-store locations subsequent to the quarter;

    Net loss attributable to unitholders of $2.4-million due to $6.4-million of non-cash fair value adjustments resulting primarily from unit price appreciation;

    Adjusted net earnings increased to $4.4-million, or 2.9 per cent of sales, compared with adjusted net earnings of $3.3-million, or 3.0 per cent of sales, in the third quarter of 2012;

    Adjusted distributable cash of $4.4-million, compared with $1.9-million in the third quarter of 2012;

    Announced a distribution increase of 2.6 per cent to 48 cents annually from 46.8 cents.

  • J'en ai un bon chunk dans mon REER depuis plusieurs années. Au rythme où ça progresse, j'aurai bientôt un six-bagger. Inutile de préciser (mais je le fais quand même!) que ça donne un sacré coup de pouce. ;-)
  • Je lis les quartely de boyd et c'est une belle entreprise mais le prix est cher présentement non?
  • Suis dans Boyd Group depuis plusieurs années. Après des débuts difficiles, cette compagnie s'est restructurée et fait flèche de tout bois. Étonnant.
